DEFINITIONS AND ADDITIONAL TERMS

A Task is a piece of work to be done or undertaken.

A single task is restricted to a single customer product and a single action that can be logically completed independently. For example, sourcing all the electronic components of a PCB may be considered a single task if the components are sourced collectively. If the components require individual attention, then the task is restricted to each such component and the job of sourcing the PCB’s components consists of a multitude of tasks.

Tasks are classified as either Office Work, Factory Work, or Financial Work.

Office Work is any task that can be completed by an Assembly staff member without departing their assigned office. An otherwise unlimited number of Office Work Tasks may be requested under Assembly Now plans, but only a limited number of Tasks are simultaneously undertaken by Assembly Now staff (varies by plan). Customer may provide guidance as to the prioritization of pending Tasks, but completion by any specific date is expressly not guaranteed.

Factory Work is any task that requires an Assembly staff member to travel outside their assigned office or that requires that member to repeat the same action more than twenty (20) times. For example, inspection of a few sample pieces typically qualifies as Office Work, but inspection of production quantities, even if shipped to an Assembly office typically does not.

Financial Work is any Task that involves the transfer, payment, or handling of funds. If Assembly makes payment to a third-party vendor on your behalf, Assembly will charge you an 8% Service Fee after exchanging your funds at the mid-market rate. Assembly will extend a 3% discount on the Service Fee if you set up a retainer for third-party payments and maintain sufficient funds for all payments you request.Assembly requires a retainer for all third-party payments of $5,000.00 or more. Please note that Financial Work may be billed after the Customer’s subscription is terminated or suspended; Customer will pay, and authorizes Assembly to charge, using the Customer’s selected payment method for all applicable Financial Work fees, including fees incurred and/or billed after the Customer has terminated or suspended the Services.
